If he's a legit business and the car is legitimate, he should apply for a mechanics lein and sell the car that way. I could see there being a problem with what he is trying to do now. The car could then be reported stolen by the owner and press charges against the shop. On top of that, the new owner will have to give up the vehicle and lose out on whatever money they put into the car.
